The Autorité de la concurrence clears the acquisition of sole control of Newen by TF1

On 21 January 2016, the Autorité de la concurrence cleared the acquisition of joint control of Newen, which produces programmes broadcasted on television such as the series Plus Belle la Vie, by TF1 and FIFL, a holding company managed by the businessman Mr. Fabrice Larue (see the press release of 21 January). On 25 May 2018, TF1 notified the Autorité de la concurrence of its acquisition of sole control of Newen.

Parties to the transaction

The TF1 Group operates in the sectors of free-to-air TV (with the channels TF1, TMC, NT1, HD1 and LCI), and pay-subscription TV (with the channels TV Breizh, Histoire, Ushuaia TV and Série Club). It is solely controlled by the Bouygues Group.
Newen Studios is specialized in production and audiovisual distribution through Telfrance, CAPA and 17 Juin companies and in the digital sector with Neweb.
This transaction allows TF1 to develop its production and audiovisual distribution division, in France as well as worldwide.

Impacts on the market

The investigation of the case consisted in checking that the analysis carried out in 2016 remained valid and was not called into question by the acquisition which was no longer of joint control but of sole control (by TF1 of  Newen).
At the end of its analysis, any effect on the market for broadcast stock (fiction, documentaries…), including fiction programmes in “original French language » (OFL), and flow programmes (entertainment), could be ruled out. The new entity will indeed hold a limited position in these markets and TF1, a program buyer, ’s, purchases will represent less than 30% of the total market purchase.
